1. Introduction
These Terms and Conditions (“Terms”) govern your use of the services provided by Basely Virtual Ltd (“Basely Virtual”, “we”, “us”, or “our”), a company registered in England and Wales. By creating an account or using any of our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.
2. Service description
Basely Virtual provides virtual address services including, but not limited to: virtual business address, registered office address, director service address, mail forwarding, mail scanning, and company formation services. The specific services available to you depend on the plan you subscribe to.
We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice where possible. We will not be liable to you for any such modification, suspension, or discontinuation.
3. Account registration
To use our services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately of any unauthorised use of your account. We will not be liable for any loss arising from unauthorised use of your account where you have failed to safeguard your credentials.
4. Payment terms
Subscription fees are charged in advance on a monthly or annual basis, depending on your chosen plan. All prices are displayed in British Pounds (GBP) and include applicable VAT where stated.
Payment is processed securely via Stripe. By providing payment details, you authorise us to charge the applicable fees on the billing cycle you have selected. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
If a payment fails, we will attempt to notify you and retry collection. Services may be suspended if payment cannot be collected within 7 days of the due date.
5. Acceptable use
You may not use our address or services for any unlawful purpose, including but not limited to: fraud, money laundering, tax evasion, intellectual property infringement, or the conduct of any activity that is illegal under English law or the laws of your jurisdiction.
You may not use our address in connection with any business that we determine, in our sole discretion, to be harmful to our reputation or contrary to our acceptable use policy. We reserve the right to terminate your account if we reasonably believe you are in breach of this clause.
6. Anti-Money Laundering obligations
As a Trust or Company Service Provider (TCSP) registered with HMRC, we are required under the Money Laundering Regulations 2017 to verify the identity of all customers and to conduct ongoing customer due diligence. By using our services, you agree to provide all information and documentation we reasonably request for identity verification purposes.
Failure to complete identity verification will result in services not being activated or being suspended. We may be required by law to make disclosures to relevant authorities without notifying you.
7. Data handling
We process your personal data in accordance with our Privacy Policy and UK GDPR. By using our services, you acknowledge that we collect and process data as described in the Privacy Policy.
8. Limitation of liability
To the maximum extent permitted by applicable law, Basely Virtual shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services, including but not limited to: loss of business, loss of revenue, loss of data, or loss of profits.
Our total liability to you for any claim arising from these Terms shall not exceed the total fees paid by you to us in the three months preceding the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
9. Termination
You may terminate your account at any time via your dashboard or by contacting us. We may terminate or suspend your account immediately if you breach these Terms, if required by law, or if we reasonably suspect fraudulent or illegal activity.
Upon termination, your right to use the address and all associated services ceases immediately. You must update any documents, filings, or registrations that reference our address. We are not responsible for any consequences arising from your failure to update your registered details after termination.
10. Governing law
These Terms and any dispute or claim arising from them shall be governed by and construed in accordance with the laws of England and Wales. You and Basely Virtual agree to submit to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “last updated” date at the top of this page and, where the changes are material, notify you by email. Your continued use of our services after such notification constitutes acceptance of the updated Terms.
